Position overview:
This position reports to and will work closely with the Manager, Corporate Legal Support Services. Position will be responsible for legal file maintenance and general support of all legal department functions including contract management; intellectual property matters; corporate governance and compliance; stock option and purchase plans; board of director communication/scheduling; SEC filings; and state corporate filings.
JOB / DUTIES / RESPONSIBILITIES (Listed in order of importance)
- Maintain corporate files concerning:
- Legal Issues
- Intellectual Property
- Corporate Governance
- Contracts
- Board of Director Meetings and Minute Book
- SEC Filings
- Prepare basic NDAs and CSAs and perform contract database entry
- Support Intellectual Property function including assistance with gathering materials and tracking due dates for domestic and foreign patent renewals and reviews and maintenance of IP files and records
- Assist with administration of company Incentive Stock Option Plan and Employee Stock Purchase Plan including preparation of communications to company employees/participants regarding incentive stock option grants and stock purchases
- Assist with compliance officer approval process for employee trading of company stock
- Assist with Board of Director function including communication with members for scheduling of meetings and follow-up on outstanding issues
- Other duties as assigned
JOB QUALIFICATIONS
Requirements
Knowledge / Education
- Completion of formal training or certification program is desirable, but not required
Job Experience
- Must have minimum of 2 years experience as a corporate paralegal

- Ability to work independently and exercise discretionary judgment
- Ability to take initiative, multi-task, prioritize multiple duties and adapt to changing priorities

- Familiarity with database entry
- Strong working knowledge of Microsoft Office programs including Outlook, Word, Excel and PowerPoint
